Welcome to SGI-Link LLC (“SGI-Link,” “we,” “our,” or “us”). These Terms of Use (“Terms”) govern your access to and use of the SGI-Link platform and services.

By accessing or using the platform, you agree to these Terms. If you do not agree, you may not use the platform.

1. Nature of Services

SGI-Link provides independent third-party administrative services for bilateral credit facilities.

SGI-Link:

• Does not lend or borrow funds

• Does not pool capital

• Does not manage investments

• Does not make credit decisions

• Does not act as a broker, dealer, or investment advisor

All credit facilities are independent agreements between lenders and borrowers.

2. Eligibility & Access

Access to the platform is restricted to qualified individuals and entities.

By using SGI-Link, you represent that:

• You meet all applicable accreditation or sophistication requirements

• All information provided during onboarding is accurate and complete

• You will maintain the confidentiality of your account credentials

We reserve the right to approve, deny, or revoke access at our discretion.

3. Account Responsibilities

You are responsible for:

• Maintaining the security of your login credentials

• All activity conducted under your account

• Promptly notifying us of unauthorized access

SGI-Link is not liable for losses resulting from unauthorized use of your account.

4. Platform Role & Limitations

SGI-Link acts solely as an administrative layer.

Our responsibilities may include:

• Onboarding and qualification processing

• Document execution facilitation

• Collateral adjustment processing

• Reporting and statement generation

• Payment coordination through third-party processors

SGI-Link does not:

• Verify the creditworthiness of any participant

• Guarantee performance of any borrower

• Ensure repayment of principal or interest

5. No Financial Advice

Nothing on the platform constitutes:

• Investment advice

• Legal advice

• Tax advice

• A recommendation to enter any credit facility

You are solely responsible for conducting your own due diligence and consulting with independent advisors.

6. Payment Processing

All payments are:

• Processed through authorized third-party payment processors

• Facilitated based on platform instructions

SGI-Link does not hold, custody, or control funds at any time.

7. Risk Disclosure

Participation in bilateral credit facilities involves risk, including:

• Loss of principal

• Borrower default

• Changes in collateral value

• Liquidity limitations

Past performance is not indicative of future results.

8. Data & Confidentiality

By using the platform, you agree:

• To provide accurate and lawful information

• Not to misuse or disclose confidential facility data

• To comply with all applicable data protection laws

Use of personal data is governed by our Privacy Policy.

9. Prohibited Conduct

You agree not to:

• Use the platform for unlawful purposes

• Misrepresent your identity or qualifications

• Interfere with platform security or functionality

• Attempt unauthorized access to other accounts or systems

We reserve the right to suspend or terminate accounts for violations.

10. Intellectual Property

All platform content, including:

• Software

• Design

• Branding

• Documentation

is the property of SGI-Link or its licensors and is protected by applicable laws.

You may not copy, modify, distribute, or reverse engineer any part of the platform without written consent.

11. Third-Party Services

The platform integrates with third-party providers, including payment processors.

SGI-Link is not responsible for:

• Third-party service availability

• Errors or failures of third-party systems

• External policies or practices

12. Disclaimers

The platform is provided on an “as is” and “as available” basis.

SGI-Link makes no warranties regarding:

• Accuracy or completeness of information

• Platform availability or uptime

• Outcomes of any credit facility

13. Limitation of Liability

To the maximum extent permitted by law:

SGI-Link shall not be liable for:

• Any indirect, incidental, or consequential damages

• Loss of profits, data, or business opportunities

• Losses arising from participation in any credit facility

Your use of the platform is at your own risk.

14. Indemnification

You agree to indemnify and hold harmless SGI-Link from any claims, damages, or liabilities arising from:

• Your use of the platform

• Your violation of these Terms

• Your participation in any credit facility

15. Termination

We may suspend or terminate your access:

• At any time, with or without notice

• For violations of these Terms

• For regulatory or compliance reasons

Upon termination, your right to use the platform ceases immediately.

16. Governing Law

These Terms are governed by the laws of the State of Wyoming, United States, without regard to conflict of law principles.

17. Modifications to Terms

We may update these Terms at any time.
Continued use of the platform constitutes acceptance of the revised Terms.
